1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and XDR Talent LLC ("Company," "we," "us," or "our"), a company registered in the United States with its principal address at 30 N Gould St Ste R, Sheridan, WY 82801, United States.

By accessing or using our website at www.xdrtal.shop (the "Site") or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or our services.

2. Description of Services

XDR Talent LLC provides computer systems design, computer integrated systems design, and professional, scientific, and technical consulting services. Our offerings include, but are not limited to:

Specific deliverables, timelines, and terms for any engagement will be governed by a separate Statement of Work ("SOW") or service agreement executed between the parties.

3. Intellectual Property Rights

Unless otherwise agreed in a written contract, all intellectual property rights in any deliverables, documentation, software, designs, or other materials created by XDR Talent LLC in the course of performing services shall remain the property of XDR Talent LLC until full payment is received, at which point ownership shall transfer to the client as specified in the applicable SOW.

All content on the Site, including text, graphics, logos, icons, images, and software, is the property of XDR Talent LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our prior written consent.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of an engagement. This obligation shall survive the termination of any agreement for a period of five (5) years, or longer if required by law. Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed without use of the disclosing party's confidential information.

6. Payment Terms

Fees for our services will be specified in the applicable SOW or invoice. Unless otherwise stated, all fees are quoted in U.S. Dollars and are exclusive of taxes. Payment is due within thirty (30) days of the invoice date. Late payments may be subject to interest at the lesser of 1.5% per month or the maximum rate permitted by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, XDR Talent LLC and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Site or our services, even if advised of the possibility of such damages.

In no event shall our total aggregate liability exceed the total amount paid by you to XDR Talent LLC in the twelve (12) months preceding the event giving rise to liability.

The Site and our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. No advice or information obtained from us shall create any warranty not expressly stated herein.

9. Indemnification

You agree to indemnify, defend, and hold harmless XDR Talent LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

10. Termination

We may terminate or suspend your access to the Site or our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site and services will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, confidentiality, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site or services after any changes constitutes acceptance of the revised Terms.

The Site may contain links to third-party websites or services that are not owned or controlled by XDR Talent LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any applicable SOWs, privacy policies, and other agreements expressly incorporated by reference, constitute the entire agreement between you and XDR Talent LLC regarding the use of the Site and services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
